Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of Nolby, an AI employee service operated by Talker Labs, Inc. (“we,” “us,” or “our”). By joining the waitlist or using Nolby, you agree to these Terms. If you are using Nolby on behalf of a team, you represent that you have authority to bind your team.

1. The Service

Nolby is an AI assistant that receives task instructions through WhatsApp, works on them in the background, and reports back in the same conversation. Nolby may connect to external tools and services that you authorize to help complete your tasks.

2. Closed Beta

Nolby is currently in a closed beta. During the beta:

  • Access is free of charge and by invitation only.
  • We may grant or deny access at our discretion.
  • We may revoke, suspend, or modify access at any time without notice.
  • The service may be changed, limited, or discontinued at any time.
  • Beta access does not guarantee continued access to future paid versions.

3. Eligibility

You must be at least 16 years old and able to enter into a binding agreement to use Nolby. By using Nolby, you represent that you meet these requirements.

4. Your Account and Team

  • Your team’s admin connects the WhatsApp Business number and invites teammates.
  • You are responsible for maintaining the security of your WhatsApp account and for all activity that occurs through it.
  • You must ensure that everyone you invite has agreed to these Terms and is aware that their messages may be processed by Nolby.
  • Notify us promptly if you suspect unauthorized access to your account.

5. Acceptable Use

You agree not to:

  • Use Nolby for any unlawful purpose.
  • Send content that is illegal, harmful, harassing, or that infringes someone else’s rights.
  • Attempt to access, disrupt, or reverse-engineer Nolby’s systems.
  • Use Nolby to send spam or unsolicited messages.
  • Introduce viruses, malware, or other malicious code.
  • Use Nolby in a way that could damage, overload, or impair the service.

6. Your Content

  • You retain ownership of the content you share with Nolby.
  • You grant us a limited license to process your content solely to provide the service — to understand your tasks, complete them, and remember context across sessions.
  • You are responsible for ensuring you have the rights to share any content you send to Nolby.
  • You should not share sensitive personal information (such as health, financial, or government ID details) unless necessary for a specific task and permitted by law.

7. AI Output and Accuracy

Nolby uses AI to complete tasks. AI output may be incomplete, inaccurate, or contain errors. You are responsible for reviewing Nolby’s work before acting on it. We are not liable for decisions you make based on Nolby’s output.

8. Connected Services

If you connect external tools or services to Nolby, you do so at your own risk and subject to those services’ terms. We are not responsible for the actions of third-party services or any data accessed through them.

9. Privacy

Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Fees and Billing

During the closed beta, Nolby is provided free of charge. If we introduce paid plans in the future, we will provide clear notice and updated terms before any charges apply.

11. Intellectual Property

Nolby — including its software, design, and branding — is owned by Talker Labs, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or proprietary technology.

12. Disclaimers

Nolby is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not guarantee that the service will be uninterrupted, error-free, or meet your requirements. Any reliance on Nolby is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, Talker Labs, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Nolby, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid us in the preceding twelve months (which, during the free beta, is zero).

14. Indemnification

You agree to indemnify and hold Talker Labs, Inc. harmless from claims, damages, and expenses arising from your use of Nolby, your content, or your violation of these Terms.

15. Termination

  • You can stop using Nolby at any time. Your admin can disconnect the WhatsApp number to end the team’s access.
  • We may suspend or terminate your access at any time, with or without cause or notice.
  • Upon termination, your right to use Nolby ends. We may retain data as described in our Privacy Policy.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Nolby will be resolved in the courts located in the State of Delaware.

17. Changes to These Terms

We may update these Terms from time to time. We’ll post the updated version here and update the “Last updated” date. If changes are significant, we’ll notify you through WhatsApp or email. Continued use of Nolby after changes constitutes acceptance of the updated Terms.
